As a Legal Advisor, you’ll help improve the client experience by giving expert advice, adding value and being proactive. If you are passionate about legal issues in commercial financing, this challenge is for you!
Your role:
- Understand business issues, identify internal partners’ needs and suggest strategies, taking into account the varied nature of files, to support the completion of activities
- Draft, analyze and interpret various bank documents, including credit agreement templates, security documents and other bank forms
- Issue and draft legal opinions in commercial law, corporate finance and securities
- Participate actively in implementing new products, special projects and developing Bank policies, standards, practices and processes in commercial and corporate financing
- Analyze business transfer files and guide employees in drafting the offer of financing and security agreements or take on the workload for complex files
- Negotiate with various parties involved in financing transactions, in particular business transfer transactions
- Analyze bills and new regulations to inform business lines about upcoming regulatory changes and help them implement any new requirements
- Identify the risks associated with the Bank’s products and activities (legal and reputational) and propose solutions to mitigate these risks
- Advise employees in Commercial Financing Operations on complex files
- Interact with internal partners, as well as with associations, organizations and external stakeholders

As part of the Legal Affairs - Commercial and International sector, you will be part of a team of four lawyers, reporting to Dominique Tremblay, Senior Director. Our team stands out for its ability to manage legal risks, its expertise and its agility. We work in collaboration with our various partners to ensure that the Bank's business customers enjoy an exceptional experience. We are looking for someone with experience in corporate finance outside Quebec.
Reporting to the Senior Manager, your responsibilities will include providing legal support for commercial financing transactions, as well as providing legal advice to various partners in other areas of the Bank.

Basic requirements:
- Bachelor of Law plus 5 years of relevant experience OR a Master of Law plus 3 years of relevant experience
- Member of the Law Society or Ontario and/or the Barreau du Québec or the Chambre des notaires du Québec with significant experience in Common law
- Relevant experience in corporate financing
- Strong analytical, interpersonal and writing skills
- Ability to handle a large volume of files with various deadlines
- Leadership skills and ability to work on a team
- Good knowledge of the corporate world and good judgment
- Bilingualism (English and French) required, as you will work closely with colleagues outside Quebec
