A career as a Senior Director, Governance within the Governance and Legal Affairs team at National Bank means acting as a strategic reference in corporate governance and corporate law, particularly for the Bank’s subsidiaries. This role allows you to have a tangible impact on the organization’s legal soundness and governance excellence through your expertise in corporate law, your governance experience, and your ability to lead complex, enterprise wide initiatives.
In this role, you contribute directly to the quality of decision making, regulatory compliance, and the evolution of governance practices, while serving as a key strategic advisor to internal stakeholders.
Your role
- Define and continuously enhance best practices in corporate governance, taking into account applicable legislative and regulatory requirements
- Lead the governance function for the Bank’s subsidiaries, including maintaining their legal existence, overseeing corporate records, providing secretariat services to boards of directors and committees, and coordinating required filings and reports
- Lead and contribute to major, structuring initiatives such as corporate reorganizations, the annual shareholders’ meeting, the development of governance guidelines, and the implementation of new tools and processes
- Provide strategic legal advice on complex matters with a significant impact on the Bank’s and its subsidiaries’ activities and operations
- Monitor legislative and regulatory developments in corporate matters and proactively recommend adjustments to internal practices
- Enhance the quality of the Governance team’s services, systems, and processes to support operational efficiency and value creation
Your team
Within the Governance sector, you report to the Corporate Secretary and Vice President, Governance and Legal Affairs – Investments. You are part of a team of specialists who work in an agile, proactive, and collaborative manner to support the Bank’s strategic decision making and ensure rigorous governance. The team stands out for the depth of its expertise, its strong collaborative spirit, and its ability to thrive in complex and evolving environments.

Prerequisites
- Bachelor’s degree in Law and a minimum of 10 years of relevant experience in corporate law or corporate governance
- Member in good standing of the Barreau du Québec, the Law Society of Ontario, or the Chambre des notaires du Québec
- Demonstrated in depth expertise in corporate law and corporate governance
- Significant experience handling complex matters with organizational or institutional scope
