Senior Paralegal - Capital Markets

Job Description

What is the opportunity? 

As a Senior Paralegal – Capital Markets, you will provide paralegal support to the Capital Markets legal team of RBC Law Group using a high degree of analytical, communication and organizational skills, focusing on transactional and regulatory documentation for Global Markets, Global Investment Banking and Corporate Banking. You will build effective relationships with business partners and ensure compliance with internal procedures.

What will you do? 

  • Reviewing and negotiating all non-disclosure agreements for Global Markets, Global Investment Banking and Corporate Banking.
  • Drafting, updating and maintaining all Canadian corporate powers of attorney for Capital Markets entities.
  • Reviewing trading-related documentation for the Global Markets in North America, including legal opinions, electronic trading agreements, internal service level agreements, powers of attorney and other corporate supporting documents.
  • Drafting and negotiating transactional and supporting documents for the Global Equity-Linked Products business, including disclosure and closing documents for the offering, re-opening and retirement of structured notes and for drafting documentation and making regulatory filings for private placements and public offerings of structured notes.
  • Maintaining Capital Markets template legal documentation.
  • Renewing permits and making regulatory filings for the Commodities business.

What do you need to succeed?

Must-have  

  • Paralegal designation (or equivalent experience/education) – 7-10 years relevant experience
  • Direct experience negotiating agreements under tight deadlines.
  • Strong ability to balance competing work demands and to work independently.
  • Strong problem-solving, communication and decision-making skills.
  • A strong desire to build effective relationships with internal partners.

Nice-to-have

  • Bilingual (English/French) considered an asset.
  • Experience with securities documentation and regulatory filings
  • Familiarity with derivatives documentation
