Be part of the adventure:
Reporting to the Vice-President, Legal Affairs, Corporate Services and Capital Markets, based in Montreal, you will work with a dynamic team of lawyers and paralegals assigned to corporate operations and financing transactions involving publicly traded companies and investment funds at the global level. As a member of this team, you will actively and creatively work toward achieving the Company’s priorities. The main duties associated with the position are as follows:
Optimize legal services related to the Group’s companies, be they privately held, regulated or publicly traded (help create and dissolve entities, contribute to ongoing maintenance, assist with capitalization and restructuring operations, etc.); promote adherence to best practices and industry standards; providing advice and recommendations to continuously develop the in-house practice;
Contribute to the digital transformation of Ivanhoé Cambridge’s Corporate Services (implement management tools for the various entities; help advance automation, etc.);
Manage a team of paralegals and technicians; allocate workload equitably across the team;
Help position the Company as a leader in corporate governance matters, working with the Sustainable Investments (ESG) team;
Carry out various legal tasks to support transactions (legal opinions, certificates, resolutions, etc.);
Ensure that the Group’s companies comply with all applicable regulations and internal policies;
Work with other Ivanhoé Cambridge departments (Finance, Taxation, Human Resources, etc.) and CDPQ’s corporate services team to ensure optimal communication and business practices are in place;
Contribute to special projects, such as recruiting external board members and sourcing service providers outside of Canada, implementing the code of ethics for board members outside of Canada, etc.;
Help resolve legal problems, working with external legal advisors, and counsel internal teams;
Enable informed business decisions; ensure legal rules and requirements are met; facilitate the accomplishment of Ivanhoé Cambridge’s business goals and objectives.
The skills of success
Membership in the Barreau du Québec; membership in other law societies, an asset;
Seven to thirteen years of relevant experience as a lawyer specializing in business and/or corporate law with a private legal firm or within a private company or public/parapublic corporation;
Experience in corporate governance and/or familiarity with real estate law, an asset;
Managerial experience, an asset;
Advanced proficiency in written and spoken French and English. Interactions orales et/ou écrites avec des partenaires externes basés à l’extérieur du Québec (fournisseurs de services, cabinets d’avocats, pairs, banquiers, firmes de courtage, firmes d’analyse de crédit, agences de crédits, etc.);
Dynamic team player who enjoys interacting with multidisciplinary teams;
Ability to work across time zones;
Availability to travel internationally as needed.
