We’re looking for a Corporate Law Clerk for our office located in Toronto.
As a Corporate Law Clerk your work will have a big impact as a key member of the corporate and legal services department.
Here are a few ways you'll make a difference:
Supporting the Corporate Law Department in relation to their corporate, transactional, IT and Procurement work including but not limited to:
Preparing documentation relating to commercial transactional matters (e.g. share purchase, asset purchase and loan agreements).
Gathering information from internal business teams to prepare non-disclosure agreements, evaluation agreements and other procurement-related documentation.
You’ll also handle many key responsibilities:
Maintaining corporate books and records
Completing corporate reports and filings with provincial & federal regulatory authorities
Conducting corporate research, due diligence searches and updating governmental registries
Answering requests or questions from business units
Providing assistance to counsel in connection with the negotiation of procurement arrangements (including review and revisions to schedules, statements of work and other contractual documents).
Successful completion of an accredited Law Clerk program and related corporate law and commercial transactional experience is a must
1- 5 years of experience organizing and working with corporate books and records
1- 5 years of experience working in commercial transactions (including some contract drafting experience)
Abilities and Knowledge
Strong time management skills and the ability to prioritize and organize work while effectively managing multiple tasks with conflicting deadlines
Strong computer skills including MS Office (Word, Excel, PowerPoint), Outlook, and CorpLink
Analytical thinking and research skills with ability to assess situations, interpret and apply legislation, and recommend appropriate action
Ability to work well independently and as part of a multi-disciplinary team in a fast-paced, high work volume environment
Excellent interpersonal and communication skills (written and oral)
Self-motivated individual that takes initiative and has excellent problem-solving skills
Bilingualism is an asset
Familiarity with or an interest in technology transactions would be an asset (but is not required).
